• Consultation and Support: Ongoing technical support and strategic advice related to the delivered projects.

3. Client Obligations and Conduct

As a client, you agree to:

• Provide all necessary content, images, data, and access credentials promptly to ensure project timelines are met.
• Ensure all materials provided to SimpleGo Digital do not infringe upon any third-party intellectual property rights.
• Adhere to the payment schedule and terms agreed upon in the project proposal or contract.
• Maintain the security of your account credentials and immediately notify us of any unauthorized use.

4. Payment Terms and Razorpay Policy

A. Fees and Invoicing

Fees for our services are outlined in the specific project proposal or statement of work (SOW). All fees are due in accordance with the payment schedule specified in the SOW. SimpleGo Digital reserves the right to suspend work or withhold final project delivery until full payment is received.

5. Intellectual Property and Ownership

Client Content: You retain all ownership rights to the text, images, data, and other materials you provide to SimpleGo Digital.

Project Deliverables: Upon final payment, SimpleGo Digital grants the Client a worldwide, perpetual, non-exclusive, transferable license (or full ownership, as defined in the SOW) to use the final, delivered website code, designs, and content for the intended business purpose. SimpleGo Digital retains the right to display the completed project in its portfolio and marketing materials.

6. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. SimpleGo Digital makes no warranties, expressed or implied, regarding the operation or availability of the Service or the content included therein. While we strive for excellence in SEO, we do not guarantee specific search engine rankings or traffic levels.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of **India**, specifically the jurisdiction of **West Bengal**, without regard to its conflict of law principles.

Any dispute arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be subject to the exclusive jurisdiction of the courts located in West Bengal, India.
